WHEREAS, Stargate LLC possesses proprietary information concerning advanced compute infrastructure capacity ("Confidential Information");
WHEREAS, Receiving Party seeks to evaluate participation in private capacity allocations ("Evaluation Purpose");
NOW, THEREFORE, in consideration of disclosure, parties agree:
1Definition of Confidential Information
All non-public information disclosed by Stargate LLC, including documents, data, specifications, financial terms, and strategic plans relating to compute infrastructure capacity, whether oral, written, electronic, or otherwise.
2Non-Disclosure Obligations
Receiving Party shall: (i) maintain strict confidentiality; (ii) limit disclosure to need-to-know advisors bound by equivalent terms; (iii) use solely for Evaluation Purpose; (iv) protect with reasonable security measures.
3Exclusions from Confidentiality
Information excluded if: (a) publicly available through no breach; (b) previously known without confidentiality; (c) independently developed; (d) received from third party without restriction.
4Term and Return
Obligations continue 24 months post-disclosure. Upon request, return or destroy all materials and certify compliance.
5Remedies for Breach
Irreparable harm presumed. Injunctive relief available without bond. Prevailing party recovers reasonable attorneys' fees and costs.
6Governing Law
Texas law governs. Exclusive jurisdiction Travis County, Texas courts.
7Entire Agreement
Constitutes complete understanding. No oral modifications permitted.
